3. Client Obligations
Account Access and Information
Clients agree to:
- Provide accurate and complete information about their business
- Grant necessary access to Amazon Seller Central or Vendor Central accounts
- Maintain active and compliant Amazon accounts
- Respond promptly to requests for information or clarification
- Comply with Amazon's terms of service and policies
Communication and Collaboration
Clients are expected to:
- Participate in scheduled meetings and check-ins
- Review and approve campaign strategies and changes
- Provide feedback on performance and results
- Communicate goals, objectives, and constraints clearly
4. Service Agreements and Contracts
Specific service engagements will be governed by separate service agreements that will include:
- Scope of work and deliverables
- Service fees and payment terms
- Performance expectations and metrics
- Contract duration and termination clauses
- Specific terms relating to your engagement
5. Fees and Payment
Service Fees
Service fees will be specified in individual service agreements and may include:
- Monthly management fees

Payment Terms

- Late payments may incur additional charges
- Services may be suspended for non-payment
- Client is responsible for all advertising spend on Amazon

- Particular return on advertising spend (ROAS)
- Specific reductions in advertising cost of sale (ACoS)
- Market position or ranking improvements
Factors Beyond Our Control
Performance may be affected by factors including but not limited to:
- Amazon algorithm changes
- Market competition and seasonality
- Product quality and customer reviews
- Amazon policy changes
- External economic conditions
7. Intellectual Property
Our Intellectual Property
All content, strategies, methodologies, and materials developed by ecommerce.consulting remain our intellectual property, including:
- Proprietary optimization strategies
- Custom tools and dashboards
- Training materials and documentation
- Reports and analysis frameworks
Client Data and Information
Clients retain ownership of their business data, product information, and proprietary materials. We will use this information solely for providing services.
8. Confidentiality
Both parties agree to maintain confidentiality of:

- Financial and performance data
- Customer information and trade secrets
- Any information marked as confidential
9. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for services in the preceding 12 months
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for losses due to Amazon account suspensions or policy violations
- Clients are responsible for their own business decisions and outcomes
10. Termination
Termination by Either Party
Either party may terminate services:
- With written notice as specified in the service agreement
- Immediately for material breach of terms
- Immediately for non-payment of fees
Effect of Termination
- All outstanding fees become immediately due
- Access to accounts and materials will be returned to client
- Confidentiality obligations continue post-termination
- No refunds for services already provided
11. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Indemnification
Clients agree to indemnify and hold harmless ecommerce.consulting from claims arising out of:
- Client's violation of Amazon's terms of service
- Client's products, business practices, or operations
- Client's violation of these Terms
- Third-party claims related to client's business
13. Governing Law
These Terms are governed by the laws of New Jersey, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of New Jersey.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or website notice. Continued use of our services constitutes acceptance of modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16. Force Majeure
Neither party will be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.
